    Nothing on this website constitutes an offer to sell goods or services. Any engagement for design services will be subject to a separate written agreement.

    These terms are governed by the laws of Ireland. Any disputes shall be subject to the exclusive jurisdiction of the Irish courts.

  8. Changes to These Terms
    We may update these terms from time to time. Continued use of the website after changes constitutes acceptance of the revised terms.

  9. Ownership of Design Concepts

    All design concepts, creative directions, visual systems, branding ideas, and any other original intellectual work developed by Direct Light in the course of client engagements remain the exclusive intellectual property of Direct Light, unless a separate written agreement explicitly transfers full ownership rights to the client.

    Upon receipt of full payment, the client is granted a non-exclusive, non-transferable licence to use the final, agreed-upon deliverables for their intended purpose as defined in the project scope. This licence does not extend to the underlying concepts, methodologies, or design thinking developed during the project.


    1. Prohibition on Derivative Use & Royalty Requirement

    Clients, their affiliates, partners, or third parties acting on their behalf are strictly prohibited from replicating, adapting, or deriving new design work from concepts originally created by Direct Light without entering into a separate Royalty Licence Agreement. Any unauthorised use of such concepts — whether in whole, in part, or in substantially similar form — shall be considered an infringement of intellectual property rights and will be subject to applicable legal remedies, including claims for compensation and damages under Irish and EU law.

    If a client wishes to obtain extended rights — including the ability to use original concepts as a basis for future design work, product lines, or brand extensions — a Royalty Licence Agreement must be negotiated and signed before such use begins. Royalty terms, rates, and duration will be determined on a case-by-case basis.

    13. Rejected & Unpresented Concepts

    All design concepts that were presented but not selected by the client, as well as any concepts developed internally and not delivered, remain wholly owned by Direct Light. These concepts may be repurposed, evolved, or offered to other clients at the sole discretion of Direct Light, with no obligation to the original commissioning party.

    14. Direct Light reserves the right to showcase all work, including client projects, in portfolios, case studies, and promotional materials, unless the client has entered into a separate Non-Disclosure Agreement (NDA) prior to commencement of work.
